To fully understand merger failures we need to understand the motivation behind M&A activity - which is primarily about the creation of value by exploiting [what is euphemistically referred to as] synergies.
Technically speaking, "synergy" is defined as the increase in the merging firms' competitive strengths and resulting cash flows beyond which the two companies are expected to accomplish independently. The word "synergy" entered merger vocabulary during the 1960s merger wave, and was used to describe gains from conglomerate mergers that could not be readily identified, but were presumed to be present to explain why the mergers occurred.
If it were not for the catastrophic failure rate of most mergers and the destruction of shareholder value and, most importantly, the human cost, then this could be amusing. But to my mind it isn't, it is an appalling indictment of the business world and their advisors that [just as in the world of change management] 70% of all M&A activity fail to realise the intended benefits.
There have been endless studies over the past 30 years to explore the reason for merger successes and merger failures. The overwhelming evidence is that over 70% of the time, mergers do not create synergies and shareholders of both companies involved do not see gains in shareholder value.
According to a survey published by KPMG in 2008, the proportion of M&A deals that have reduced value has increased by 50 percent in the two years since their previous survey. Culture remains one of the top post deal challenges with companies continuing to link post deal HR challenges with cultural complexity.
Greatest risks to merger success are all people related.
A survey conducted by A.T. Kearney in 2004 to identify the most critical phase to merger success or merger failures, revealed that whilst the majority of 53% stressed that the actual implementation phase - often referred to as the "post-merger integration" phase - bears the greatest risk - this post-acquisition phase is the most ignored.
In a study of 40 British companies, Cartright and Cooper [1995] reported that all 40 conducted a detailed financial and legal audit of the company they intended to acquire, but that not even one of these same companies made any attempt to carry out an audit of the company's human resources and culture to assess the challenges concerning integration of the organization they were acquiring.
A brief review of many business and academic studies into the factors impacting merger failures reveals the greatest risk of merger failure existed in the area of people issues, and proposes the value of a "soft" due diligence audit focusing on human resources to identify cultural difference and issues to be faced and impacts on those people who are critical to the success of the merger.
Dominic Fong of Curtin Business School said: "One critical factor that befalls a merger is cultural conflicts....". T.J Tetenhaum describes culture "as the heart of a merger integration". Another writer Richard S. Bibler suggests that cultural incompatibility is the single largest cause of merger failures. According to Bibler the difficulty of blending two organisations lies in the fact that each group tends to see the world through its own biased cultural filters, which he refers to as "familiarity blindness" or "cultural trance", and this cannot be overemphasised as a cause of merger failures.
A very personal perspective...
What really bothers me is the way the system currently works for remunerating all of the professional advisors who provide services to the corporate world. I would welcome the day when professional advisors and senior executives have a significant part of their large remuneration linked to the medium term [i.e.3-5 years] shareholder value they created - cos I somehow feel that might go a long way to redefining the whole concept of "synergy" and reducing the percentage of merger failures.
Excuse the lateral thinking for a moment - but can you imagine civil engineers or construction companies or the people who build nuclear power stations - working on the same basis - where a 70% failure rate was accepted? Can you? So why on earth should the world of business be any different?
Why does this bother me? Quite simply, because of the very considerable, unnecessary, and totally avoidable human cost.
So How to avoid these risks of merger failures...
The best way to avoid these merger failure reasons is to conduct a "soft" due diligence audit, focusing on the human resources aspects of the merger to identify (1) cultural difference and issues to be faced, and (2) the impacts on those people who are going to be most affected, and those people who are critical to the success of the merger.
And as my contribution to all this, I have developed a diagnostic process that allows a company to test the impact of a proposed business initiative or venture on those people most affected by it, to identify why it may fail and to establish precisely what has got to be done to make it a success.
This tool can be applied to a proposed merger as part of the HR due diligence process, to identify and assess the cultural issues that will be encountered. The tool is sufficiently flexible and scalable to be adapted, modified or enhanced to meet a specific requirement.
It is low tech and simple to understand and apply, it involves staff at any or all levels and enables them to articulate difficult issues in a non-confrontational way, and it can be undertaken quickly and before large sums of money are irrevocably committed to the proposed merger.
The output of this process forms the input for the creation of a programme management based approach to managing the change management and HR related aspects of post merger integration aspects.

Did your last attempt to hang artwork leave your wall looking like Swiss cheese? Was your artwork's placement less than ideal? If so, let me assure you that your next attempt to hang art will achieve a better result. There is an approach to hanging artwork that will place your art in the perfect spot, every time. As long as you have a general idea of where you would like the artwork to be placed, it's simply a matter of finding the correct height and the correct center.
Decorating Considerations
A few preliminary remarks are in order. The scale of the artwork is important to its placement; save smaller pictures for smaller, narrower walls and use larger artwork for a large space. When placing artwork above furniture, the width of the artwork should not exceed three-quarters of the width of the furniture. Also, don't leave a lot of wall space between a sofa and an artwork. Anything higher than three to six inches will cause the eyes to focus on the wall rather than your artwork.
How to Determine the Correct Height for a Single Artwork
Properly placed artwork should be centered at eye level on the wall. If you stand in front of the artwork and look straight ahead, you should be looking directly at the center of the artwork. In your home, the only eye level that matters is your eye level; you are going to be the artworks primary viewer. If you share your living space with another adult, you may want to compromise on what constitutes "eye level".
If you are hanging artwork in a public location, aim for eye level based on the average height in your area. Americans tend to be taller than the world average, so in America eye level is between 63-66 inches from the floor.
Hanging the Artwork
To find your eye level, stand facing the wall and look straight ahead. With pencil in hand, mark the spot on the wall that corresponds to your eye level. With a tape measure, measure the distance from the floor to your mark on the wall. We will call this mark A. Remember this number; you will use this eye level measurement every time you hang an artwork.
Next, measure the height of the frame, and divide your measurement by 2. The result of this calculation will give you the center point of the artwork. For example, if the frame was 26 inches tall, divide 26 by 2; the center is 13 inches. Add the center point measurement to your eye level measurement. For example, if your eye level was 63 and your center point was 13, measure upwards 13 inches from the mark at 63; this will make a mark at 76 inches. This mark indicates where the top of the frame will rest. We will call this mark B.
To find the correct wall hook placement, measure downwards from the top of the artwork's frame to its hook clip or wire (be sure to pull the wire up before measuring). From the wall mark B, measure downward by the amount of your wire measurement. For example, if your wire was place at 3 inches below the top of the frame, measure down 3 inches from mark B on the wall. We will call this third mark C. Mark C is where you will put your nail or wall hook. If you are using a wall hook, be sure to place the curve of the hook at mark C.
Hanging a Group of Pictures
A group of artworks should be treated like a unit. Just as with a single artwork, the group should be centered at eye level. The easiest way to center a group of pictures is to begin by laying the artworks on the floor on top of butcher paper. Tape the edges of the butcher paper together so it can be picked up as one unit. When you find a suitable arrangement for your group, trace the outline of each artwork onto the butcher paper. To find the center of the butcher paper, draw an "X" diagonally from corner to corner. The center of the "X" is the center of your group of artworks.
Tape the butcher paper onto the wall with painter's tape. Place the center of the butcher paper at your eye level marking; this will give you a center marking for your group. On the outline of each artwork, locate the center top of each frame. Mark the wall by poking through the butcher paper with a pencil; this mark will correspond to our wall mark B in the single artwork example above. Finally, measure each frame in your group to determine the measurement for the hanging hardware location. From each wall mark B, measure downward to determine your wall mark C, at place your wall hook or nail at mark C.
The above suggestions will take the guesswork out of artwork placement, and keep your walls from looking like Swiss cheese.

Apparently you can't get them online yet, and they aren't even on Sally's site yet, nor Amazon. You can buy the set on eBay, but a bunch of people want them, so you'll get outbid easily if you don't watch it.
I have only seen them at Walgreens, and they were on sale. I don't know if they have them at Walmart, but I know someone got the wrong ones there by accident. You need to get the Nail Art Pens, and not the Fast Dry Nail Color Pen. Hope that helps!

The first step to taking proper care of your skin is cleansing. It can be a challenge to find the right cleanser for your skin, but once you do, you will know it! Stay with this cleanser. Changing cleansers over and over can be hard on your skin. Avoid using traditional soap on your skin. This is drying and harsh and also does little to take the make up off of your skin. Cleanse your face twice a day and not much more. This is frequent enough to take care of the oils and makeup you have, without damaging your skin by over cleansing. Use lukewarm water and a small amount of cleanser. Apply the cleanser using circular movements of your hands. Then rinse with lukewarm water.
The second skin care stem is to exfoliate your skin. This is basically scrubbing your skin in order to remove the dead cells that are present on the top layer. These dead cells are damaging to your complexion, making you look tired and your skin less radiant. To exfoliate, us a scrub once a week in your skin care regimen. Use a scrub with small, gentle grains.
Finally, you need to moisturize your skin. If you have oily skin, you are probably thinking that the last thing you should incorporate into your skin care routine is a moisturizer, but this is not true! Your skin needs some moisture and putting the right kinds of moisture into the skin protects it from becoming oily. When your skin feels tight, you need moisturizer! Once it relaxes, you have used enough!
What about toner? Toners are supposed to remove everything in your skin, such as oil and dirt. They are not necessary, provided a quality cleanser is used, because the cleanser will take care of these problems. But, toners are not all bad, so if you like including a toner in your skin care routine, feel free to do so! But, if a toner seems to make your skin to dry, stop using it!

Normally kids around my age have oily skin, but mine is not oily at all.

I've tried Neutrogena, Clean & Clear, and right now I'm using Aveeno Skin Brightening face wash, but none of those really help. I tried switching to a non-alchoholic toner, which helped a little but my skin still gets kind of dry. And yes, I do moisturize everyday.
It's not severe or anything, but it flakes sometimes and it gets on my nerves.
I want my face to look as hydrated as possible, so if you have any suggestions, feel free to shout them out!

Good, cheap, reliable Sorbolene. Myself and two of my young grandsons have very dry skin. They can itch until they bleed. Eighteen months ago I stopped using soap completely and now only shower with Sorbolene. I have done the same with the boys. Our skin is itch free, feels so much smoother and never feels or looks dry. Planned Action
Successful people launch directly without hesitation into the major task that confronts them at any point in the day. However, while acting is better than procrastinating, action without planning leads to failure and disappointment, so learn to plan daily. Remember the 10/90 rule: investing 10% of your time in planning before beginning a project will help you use the other 90% of the time more effectively.
Prioritize
Remember Pareto's rule. If you have a to-do list of 10 items, two of those items will generate 80% of the return you get from your entire list. Begin with the end in mind. After attending to the urgent and important matters, focus on what is important but not urgent. Failures do what is tension-relieving while winners do what is goal-achieving.
Make a list of your tasks. Prioritize your list by putting an "A" next to those tasks that you must do as soon as possible or face serious consequences. If you have more than one "A" number them "A1", "A2" etc. "B" tasks are ones you should do, but that carry mild consequences. "C" tasks would be nice to do, but carries absolutely no consequences at all. "D" tasks are those you can delegate to someone else, so your goal is to delegate all of them to free your time for things only you can do. "E" task is one you can eliminate altogether. It may have seemed important once, but it isn't any more. You can't do everything and there is only so much time in a day, so start with the 20% of tasks that will generate 80% of the return.
Time
The Law of Forced Efficiency relates to the idea that any job will expand to fill the time you allow for it. If you have two days, it will take you two days (or perhaps more). However, the flip side is also true: If you have only one day to complete a two-day job, somehow you find the time to do it.
Being effective requires a positive attitude and the will to do the most difficult task first. Because you can't do everything, indulge in creative procrastination - put off the things that do not carry a consequence. Break large tasks down into a series of simple ones. Work with a sense of urgency.

I was just looking at photos of Israel "IZ" Kamakawiwo'ole on the Net. This great singer died young, basically because he was too fat. I feel badly for him and all others who are morbidly obese. It's easy to say "diet & exercise", but when you're at that level of heaviness, not only are you in a hurry to lose weight due to health reasons, but it's extremely difficult to do what is needed to lose weight. These people aren't at "normal" overweight levels -- levels one can work on. They're at crucial levels of weight, and face the excrutiating task of trying to lose it. The feat would seem impossible, too overwhelming. Anyway, I want to know how these people lose weight. Especially without surgery. Are there any success stories out there? How did you do it?
Well I was 273 pounds and almost morbidly obese I have since lost 98 pounds by sticking to a low calorie diet (which required alot of will power and determination) and taking regular easy exercise, which was basically just walking the dog. That was that, no potions, pill, gym membership or anything fancy. What a difference it has made to my life, if have went from a UK size 24 (US 20) to a UK 14 (US 10) and feel amazing. I was obese most of my life so it can be done if you really want it.

I remember the first time I sat down to eat at a formal meal. It was quite the experience as I was coming into the situation unprepared.
Although my parents had taught us to be polite, we never were taught how to eat at a formal meal. Our meals were always very "normal" and did not require any special type of behavior.
Naturally, the first time I experience a formal meal I felt like a fish out of water. I am sure that I am not the only one with that experience and so I want to pass on the proper table setting etiquette.
Table Setting
It this is your first time like it was mine, you are going to wonder why there are so many forks, knives, plates, and glasses. Let me try and break this down very simply so that you can quickly understand what proper etiquette will be at a table setting.
1. Always start with the outside of the silverware and work in. Please note that this rule only applies to the silverware. The rules are different for the glasses. There will normally be enough silverware for each course of the meal. So, you will have one fork for the appetizer, one of the salad (if one is being served), and one for the main dish. Start with the fork furthest from the plate and work in as each new dish is served.
2. With glasses, start with the left glass and work to the right. Depending on what is being served, there could be as many as five glasses. Yes, that is probably going to be overwhelming, but let me help you keep it simple. The most important glass is the water glass. This one is usually placed directly above the knives. That makes it easy to identify. The other four glasses go as follows from left to right: champagne flute, white wine glass, red wine glass, and dessert wine glass. If there are fewer glasses, then not every type of wine is being served.
3. Silverware above the main plate are for dessert only. They are cute and small. You will probably want to play with them, but that is not proper etiquette. Save them them for the dessert to do things the right way.
4. The smaller plate and knife are for bread or rolls. That is the only thing this plate is used for. When you have a partially eaten piece of bread or roll, it should be kept on this plate.
